Please read these Terms of Service ("Terms") carefully before using ClauseBoard.ai ("the Service"), operated by Digital Holdings LLC ("we," "us," or "the Company"), a California limited liability company. By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
ClauseBoard.ai is an AI-powered document analysis tool that provides plain-language explanations of contract terms, risk flags, and general negotiation suggestions. The Service uses artificial intelligence to translate legal jargon into plain English and identify clauses that may warrant further review.

No attorney-client relationship is created by your use of this Service. The analyses generated by ClauseBoard.ai are for informational and educational purposes only.
AI-generated analysis may contain errors, omissions, or inaccuracies. You should NOT rely solely on the output of this Service when making legal decisions. We strongly encourage you to consult a licensed attorney in your jurisdiction before signing any contract or making decisions based on the information provided by this Service.
The flag system (green/yellow/red) represents the AI's assessment based on general heuristics and should not be interpreted as legal guidance. A "green" flag does not guarantee a clause is favorable to you, and a "red" flag does not necessarily mean a clause is unenforceable or illegal.
2. Eligibility
You must be at least 18 years old to use this Service. By using ClauseBoard.ai, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
Some features require account registration. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 consecutive months.
4. Payments, Pricing, and Refunds
4.1 Pricing
ClauseBoard.ai offers the following pricing tiers: Free Preview (limited analysis), Single Analysis ($9.99), 3-Pack ($24.99), Monthly Pro ($19.99/month), and Annual Pro ($149/year). Prices are in US dollars and are subject to change with 30 days' notice to existing subscribers.
4.2 Payment Processing
All payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. We do not store your credit card information on our servers. Digital Holdings LLC's Stripe account identifier is acct_1T9aq1DE1VL5oaQ8.
4.3 Subscriptions
Monthly and Annual Pro subscriptions renew automatically unless cancelled before the end of the current billing period. You may cancel your subscription at any time through your account dashboard or by contacting support@clauseboard.ai. Cancellation takes effect at the end of the current billing period — you retain access until then.
4.4 Refunds
Single Analysis and 3-Pack purchases are non-refundable once the analysis has been generated, as the AI processing cost is incurred at the time of analysis. If the Service fails to generate an analysis due to a technical error on our end, you will receive a full refund or credit. Subscription refunds are handled on a case-by-case basis — contact support@clauseboard.ai.
5. Acceptable Use
You agree to use ClauseBoard.ai only for lawful purposes and in accordance with these Terms. You agree NOT to:
Upload documents you do not have the right to analyze (e.g., contracts belonging to third parties without their consent). Use the Service to engage in the unauthorized practice of law. Attempt to reverse-engineer, decompile, or extract the AI prompts, heuristics, or proprietary analysis logic. Use automated tools (bots, scrapers) to access the Service. Resell, sublicense, or redistribute analyses without written permission. Upload documents containing malware, viruses, or malicious code. Use the Service to generate misleading or fraudulent documents.
We reserve the right to suspend or terminate your access for violation of these terms.
6. Document Handling and Data Retention
6.1 Document Upload
When you upload a document, it is transmitted securely via HTTPS to our servers and stored in encrypted cloud storage (Supabase Storage with encryption at rest). The document text is extracted for AI processing.
6.2 AI Processing
Extracted text from your document is sent to the Anthropic API (Claude) for analysis. Anthropic's API terms state that data sent through the API is not used to train their models. We disclose this to you for transparency. For the full Anthropic API data policy, visit anthropic.com/policies.
6.3 Auto-Deletion
Uploaded documents (PDFs, images) are automatically and permanently deleted from our storage after 30 days. Analysis results (the plain-English breakdown, flags, and negotiation tips — without the original document) are retained in your account for as long as your account is active, unless you request earlier deletion.
6.4 Right to Delete
You may request immediate deletion of any uploaded document or analysis by contacting support@clauseboard.ai. We will process deletion requests within 48 hours.
7. Intellectual Property
7.1 Your Content
You retain all ownership rights to the documents you upload. By uploading a document, you grant us a limited, non-exclusive license to process, analyze, and store the document solely for the purpose of providing the Service to you. This license terminates when your document is deleted.
7.2 Our Content
The ClauseBoard.ai platform, including its design, code, AI prompts, heuristics, flag system logic, and branding, is the intellectual property of Digital Holdings LLC. Analysis outputs (the plain-English translations, flags, and negotiation suggestions generated for your specific document) are yours to use, download, and share freely.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITAL HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: DECISIONS MADE BASED ON THE AI-GENERATED ANALYSIS, ERRORS OR INACCURACIES IN THE AI OUTPUT, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY DAMAGES RESULTING FROM YOUR RELIANCE ON THE SERVICE AS A SUBSTITUTE FOR PROFESSIONAL LEGAL COUNSEL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Digital Holdings LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: your use of the Service, your violation of these Terms, your violation of any third-party rights, or any documents you upload to the Service.
10. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
11. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email (if you have an account) and by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Digital Holdings LLC regarding your use of ClauseBoard.ai and supersede any prior agreements.
